Equinix Expands to South America

(Nasdaq: EQIX), a provider of global data center services, and Riverwood Capital, a technology-focused private equity firm, today announced that they have entered into a definitive agreement to acquire approximately 90 percent of ALOG Data Centers of Brazil S.A. in an all cash transaction valued at approximately $127 million. Equinix will hold controlling interest, Riverwood will hold a significant minority stake and approximately 10 percent will be held by current members of ALOG’s management team. Beginning three years following the close of the transaction, Equinix has the right, and in certain circumstances may be required, to acquire 100 percent of ALOG.

The investment will extend Platform Equinix to South America, creating a footprint of 95 data centers across 37 global markets. Data center space in Brazil gives Equinix the ability to satisfy strong demand from its network, content, cloud and financial services customers looking to establish a presence in this rapidly growing market. All guidance reflects a closing date of April 30, 2010 for the Switch and Data acquisition and therefore contributes to Equinix’s guidance from May 1, 2010 onwards.

For the second quarter of 2010, the Company expects revenues to be in the range of $296.0 to $298.0 million. Cash gross margins should approximate 64% and cash selling, general and administrative expenses should approximate $64.0 million. Adjusted EBITDA is expected to be between $125.0 and $127.0 million. Capital expenditures are expected to be in the range of $155.0 to $185.0 million, comprised of approximately $33.0 million of ongoing capital expenditures and $122.0 to $152.0 million of expansion capital expenditures. Web Hosting ServicesTAMPA, FL – Switch and Data (NASDAQ: SDXC), a leading provider of network-neutral data center and Internet exchange services, today announced that the United States Department of Justice notified Equinix, Inc. that it has closed its investigation with respect to Equinix’s proposed acquisition of Switch and Data and also received notification from the Federal Trade Commission that the waiting period under the Hart-Scott-Radino Antitrust Improvements Act of 1976 has been terminated. Switch and Data and Equinix expect the transaction to close on April 30, 2010, subject to the satisfaction or waiver of the other closing conditions set forth in the merger agreement.

As previously announced, Switch and Data stockholders may revoke their elections at any time prior to 5:00 p.m. Eastern time on the date that is two business days preceding the closing date of the transaction by delivering to the exchange agent a written notice of revocation. Shares of Switch and Data common stock as to which an election has been revoked after January 29, 2010, the election deadline, will be deemed non-electing shares, and no new election as to such shares may be made. (Nasdaq: EQIX), a provider of global data center services, today announced plans to increase the size of its presence in the Dallas metro with the addition of a new Dallas 2 (DA2) International Business Exchange™ (IBX)® data center. Residing in the same location as the company’s DA1 IBX data center, the new facility will initially add approximately 40,000 gross square feet of data center space and 420 cabinet equivalents. The new development will significantly increase Equinix’s presence in the fourth largest metro area in the United States, a market that includes 25 of the Fortune 500 companies and is home to companies across many industries such as defense, telecommunications, mobility and cloud/IT technology services.

The DA2 IBX data center will be built out in two phases. The first phase represents an expected investment of approximately $25 million and is targeted for completion during the first quarter of 2011.
